Minerva MEET is a mobile app designed for small groups such as families, close friends, sports teams, and hobby circles. Our app includes a set of tools to facilitate communication and productivity, including a bulletin board, todo list, event calendar, and chat functionality. By using our services, users agree to these Terms of Service. Please read them carefully.

1. Definitions
- Service: Minerva MEET and its features.
- User: Any individual using the Service.
- Content: Information such as text, audio files, music, images, videos, software, programs, and other materials.
- Submitted Content: Content that users submit, transmit, or upload to the Service.
2. Agreement to Terms
By accessing or using the Service, users agree to be bound by these Terms. If users do not agree, they may not use the Service. Minors may use the Service only with parental consent.
3. Modifications
We may modify these Terms at any time. Changes will be effective once posted on our website or within the app. Continued use of the Service indicates users’ acceptance of the modified Terms.
4. Account
- Users must provide accurate and complete information and keep it updated.
- Users are responsible for maintaining the confidentiality of their account and password.
- Users may delete their account at any time.
- We reserve the right to terminate or suspend a User’s account for violations of these Terms, prolonged inactivity, or other reasons deemed necessary by Minerva MEET.
5. Privacy
We prioritize user privacy and will protect personal information in accordance with our Privacy Policy.
6. Provision of Service
- Users are responsible for providing the necessary devices, data connections, mobile device, wireless service plan, software, Internet connections, and/or other equipment or services needed to download, install, and use the Service, including the mobile application version of the Service (the “App”). We do not guarantee that the App can be accessed and used on any particular device or with any particular service plan.
- We may limit access to the Service based on age, identification, membership status, or other criteria.
- We may modify or discontinue the Service without prior notice.
7. Paid Subscriptions and Free Service
- Minerva MEET offers a free service as well as a paid subscription option that offers additional features.
- Paid subscriptions have no banner ads within the app but may include other forms of advertisements (e.g., promotional notifications, links in emails).
- The subscription will automatically renew until canceled. You can manage your subscription, including cancellation, on the platform’s settings screen.
- Subscription fees and details are outlined in the subscription section within the app.
8. Content
- Users retain ownership of Submitted Content.
- By submitting Content, users grant us a worldwide, non-exclusive, royalty-free license to use, host, and distribute the Content as necessary to operate and provide the Service.
- Users must not use the Service to infringe on intellectual property rights or post harmful or illegal content.
- Minerva MEET is not responsible for User-generated content. Users are solely responsible for the content they submit, transmit, or display through the Service and for the consequences of their actions.
9. License and Rights to User Content
- User Ownership: Users own their content and all related intellectual property rights. Users can share content from others with proper permission.
- License to Minerva MEET: If users’ intellectual property rights limit our use of their content, users grant Minerva MEET permission through this license.
- Scope of the License:
- Worldwide: Valid globally.
- Non-exclusive: Users can license their content to others simultaneously.
- Royalty-free: No payment required.
- Rights Granted: This license allows Minerva MEET to:
- Store, reproduce, and distribute user content, making it accessible from various locations.
- Publish, display, or perform users’ content within their groups, as per users’ sharing settings.
- Modify and create derivative works from user content, such as reformatting or translating it.
- Sublicense Rights:
- To other users within user groups for sharing and interaction.
- To contractors working with us, under these terms.
- Purpose of the License: The license is granted to:
- Operate and enhance our services, including content analysis for spam, malware, and illegal material.
- Identify patterns to improve user experience, like summarizing notifications in Minerva MEET.
- Customize our services for users, including personalized recommendations and advertisements.
- Use shared content within user groups for promotional purposes, such as quoting user feedback.
- Develop new features and technologies that align with these terms.
10. Advertisements
We reserve the right to display advertisements on both the free and paid versions of the Service.
11. Service-Related Communications
To provide users with our services, we sometimes send service announcements and other information. To learn more about how we communicate with users, see our Privacy Policy. If users choose to give us feedback, such as suggestions to improve our services, we may act on the feedback without obligation to the users.
12. User Conduct
Users must not engage in activities that:
- Violate laws or regulations.
- Infringe on intellectual property rights.
- Spread false information.
- Engage in spamming, harassment, or other harmful behaviors.
13. Limitation of Liability
- We do not guarantee that the Service will be error-free or uninterrupted, or that any defects will be corrected.
- Minerva MEET is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses. However, if the agreement (including but not limited to these Terms) between Minerva MEET and users regarding the Service is deemed a consumer contract under the Consumer Contract Law in Japan, this exemption clause shall not apply.
- Our total liability for any claims arising out of or relating to user use of the Service is limited to the amount users paid for the Service in the twelve months preceding the claim.
- The Company may take necessary measures and actions if a User violates the Terms. However, the Company is not obligated to correct or prevent such violations.
14. Disclaimer
User use of the Service is at their sole risk. The Service is provided on an “as is” and “as available” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
15. Indemnification
Users agree to defend, indemnify, and hold harmless Minerva MEET and its affiliates from any claims, damages, obligations, losses, liabilities, costs, or debt arising from user use of the Service, user violation of these Terms, or user infringement of any intellectual property or other right of a third party.
16. Governing Law
These Terms are governed by the laws of Japan. Conflicts that arise from the Service or conflicts between users and Minerva MEET related to the Service will be governed primarily under the exclusive jurisdiction of the District Court of Tokyo or the Tokyo Summary Court.
